(“SPS”, “we”, “us”, “our”), and the products and services offered on or available through the Site, including SPS’ SaaS applications (“Products” and “Services”). These Terms apply to all visitors, registered users, and account holders of the Site and Services, whether or not such users have purchased any Services.

GENERAL. SPS does not warrant that the contents of this Site or the Products and Services are error-free. Information on this Site may contain technical inaccuracies or typographical errors and may be changed or updated at any time without notice. SPS may also make improvements and/or changes in the Products and Services described on this Site at any time. SPS will use reasonable efforts to place accurate and up-to-date information on this Site but makes no warranty of its accuracy, completeness, or timeliness. You acknowledge that your use of this Site, the Products and Services, and any information available through this Site is at your own risk.

USE. You agree that you will only use this Site and Services for their intended purpose. You agree to limit such uses to your internal business purposes and will not resell or sublicense the Services. You further agree not to: (i) use the Site, content, or Services for any unlawful purpose; (ii) restrict or inhibit any other user from using and enjoying the Site, Products, or Services; (iii) impersonate any person or entity; (iv) use any automated tools, including robots, spiders, or crawlers, to access, retrieve, index, scrape, or data mine the Site; (v) perform security testing, including penetration testing or vulnerability scanning, without SPS’s prior written consent; (vi) reverse engineer, decompile, or attempt to discover the source code of the Site, Products, or Services, or (vii) use any AI Feature as a substitute for human judgment in making legally binding, regulatory, safety-critical, or high-risk business decisions. For clarity, this restriction includes attempts to systematically extract, train on, or repurpose AI Feature outputs outside the intended functionality of the Services.

AI FEATURES. Certain Products and Services made available through the Site may include features that use artificial intelligence, machine learning, or other automated techniques to generate suggestions, insights, summaries, recommendations, or other outputs (“AI Features”).

AI Feature outputs are generated based on user inputs, available data, and probabilistic processes, and may be inaccurate, incomplete, misleading, or outdated. AI Feature outputs are provided for informational and advisory purposes only and do not constitute legal, financial, compliance, operational, or other professional advice.

You acknowledge and agree that you are solely responsible for reviewing, validating, and determining whether to rely on any AI Feature output before taking action. You remain fully responsible for all decisions, actions, and outcomes resulting from your use of AI Features.

AI Features do not have independent legal authority to bind you, SPS, or any third party. Unless expressly stated in applicable Documentation, an Order Form, or other written terms provided by SPS for a particular AI Feature, AI Features are not authorized to act autonomously or execute transactions, commitments, or other actions on your behalf.

You are responsible for the content, accuracy, and legality of all data, prompts, configurations, and inputs provided to AI Features, including any connected systems or third-party data sources. SPS is not responsible for errors, disclosures, or outcomes resulting from such inputs.

To the extent AI Feature outputs are generated using your data or inputs, such outputs will be treated in accordance with these Terms and any applicable agreement governing your use of the Services. SPS retains all rights in the AI Features and the underlying technology used to generate such outputs.

AI Features may incorporate or rely on third-party tools, models, or services. SPS does not control and is not responsible for the availability, accuracy, or performance of such third-party components, except as required by applicable law.

AI Features may change or evolve over time, and outputs may vary based on inputs, system updates, or model changes.

LICENSE GRANT. Subject to these Terms and any applicable agreement, SPS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only during the applicable subscription term. You obtain no ownership rights in the Services.

DATA USAGE. You acknowledge and agree that SPS may use data derived from your use of the Products and Services for the purpose of operating, maintaining, improving, supporting, and enhancing SPS’ offerings, provided that such use does not disclose your identity or confidential information except as permitted by these Terms or applicable law.

SECURITY RESPONSIBILITIES. You are responsible for implementing commercially reasonable safeguards to secure your systems, data, and access credentials used in connection with the Services, and for any activity occurring under your account.

DOWNLOADING. You may only download materials that are expressly designated for download. You may not download materials requiring a fee unless the applicable fee is paid. You agree not to circumvent any content protection technology on this Site.

SUBMISSION OF INFORMATION OR MATERIALS. You agree to provide accurate, current, and complete information when registering or providing data to SPS. You also agree to update your information as necessary to maintain its accuracy. If you provide any information that is untrue, inaccurate, not current, or incomplete, SPS may suspend or terminate your account and deny future access to the Site or Services.

By submitting any content, data, feedback, suggestions, or other materials to SPS through the Site or otherwise, you grant SPS a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, modify, display, and perform such submissions for purposes of operating, improving, and promoting SPS’s business, including its Products and Services.

You retain ownership of any intellectual property rights in your submissions, subject to the license granted above. SPS is not obligated to use any submission and makes no commitment to provide any compensation or attribution unless otherwise agreed in writing.

SPS does not accept or consider unsolicited ideas or proposals for new products, features, or technologies. If you choose to submit such unsolicited ideas, you do so at your own risk, and SPS shall be free to use them without restriction or compensation, consistent with the license above.

PASSWORD AND USER NAME. You are solely responsible for maintaining the confidentiality of your account credentials and for any activities conducted under your credentials. You agree to notify SPS immediately of any unauthorized use or security breach. SPS will not be liable for any losses resulting from unauthorized account use.

LINKS TO THIRD PARTY SITES. The Site may contain links to third-party sites, which are provided for your convenience. SPS does not control or endorse any such sites and is not responsible for their content.

THIRD-PARTY DISCLAIMER. SPS lists third-party companies and information for informational purposes only and does not endorse or control such companies.

COPYRIGHT AND TRADEMARK. All content on this Site is protected by intellectual property rights owned by SPS or its licensors. Except as expressly authorized, no content may be copied, distributed, or reproduced without prior written permission from SPS.

EMAIL FROM SPS. SPS may send you communications related to your use of the Site and Services. You may opt-out of promotional communications as specified in each email.

INTERNATIONAL TRADE COMPLIANCE. The Products, Services, and technology are subject to U.S. export laws and may not be exported to certain countries or end-users. You are responsible for compliance with applicable export controls.

INDEMNITY. You agree to indemnify and hold harmless SPS and its affiliates, officers, directors, employees, and agents from any claims arising out of your use of the Site, Products, or Services, your breach of these Terms, or your submission of information to SPS.

WARRANTY DISCLAIMER. THIS SITE, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. SPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPS DOES NOT GUARANTEE THAT THE SITE OR SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED. Without limiting the foregoing, SPS makes no warranties regarding outputs generated by AI Features, including any warranties of accuracy, completeness, or fitness for a particular purpose.

LIMITATION OF LIABILITY. IN NO EVENT SHALL SPS’ TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SPS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. AI Features are part of the Products and Services and are subject to the limitations of liability set forth in these Terms.

FORCE MAJEURE. SPS shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, government actions, or interruptions of internet service.

JURISDICTION AND GOVERNING LAW. These Terms are governed by the laws of the United States and the State of Minnesota. Any legal proceedings shall be brought in Minneapolis, Minnesota within one year of the claim arising.

ACCESSIBILITY. SPS endeavors to make its services accessible and usable to all users and complies with applicable accessibility laws and guidelines.

ENTIRE AGREEMENT. These Terms constitute the entire agreement relating to use of the Site. SPS’ failure to enforce any provision does not waive its rights.
